Alxcryptoholdingsinc The Legal Generalist supports FF Academy's legal function by providing broad-based legal and administrative support across contracts, corporate governance, compliance, and legal operations. This role involves drafting contracts, maintaining corporate records, and supporting compliance initiatives.

Responsibilities

Lead and support preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy and information statements, registration statements and Section 16 filings.
We are seeking a Legal Generalist / Paralegal to support FF Academy's legal function, providing broad-based legal and administrative support across contracts, corporate governance, compliance, and day-to-day legal operations. This role is ideal for someone early in their legal career who wants hands-on exposure across many areas of corporate law in a fast-paced environment.
Draft, review, and redline routine commercial contracts (NDAs, vendor agreements, service agreements)
Maintain corporate records, cap table documentation, and entity management filings
Support compliance initiatives and track regulatory deadlines
Assist with contract lifecycle management and maintain a contracts database/tracker
Conduct legal research on a variety of corporate, employment, and commercial law topics
Support the legal team with due diligence, document collection, and filings
Liaise with outside counsel and cross-functional business partners as needed
Help prepare board and committee meeting materials

Required

Bachelor's degree required; paralegal certificate a plus
0-3 years of experience in a legal, paralegal, or compliance support role (internships count)
Strong writing, organizational, and communication skills
Proficiency with Microsoft Office and comfort learning contract management tools
High attention to detail and ability to manage multiple priorities
J.D. from an accredited U.S. law school and active membership in at least one U.S. state bar.
Approximately 5–8+ years of relevant legal experience, with substantial experience at a leading law firm in securities, capital markets and public-company representation.
Strong working knowledge of the Securities Act of 1933, Securities Exchange Act of 1934 and Nasdaq listing rules.
Hands-on experience drafting and reviewing SEC filings and executing public and private securities offerings.
Experience advising Nasdaq- or NYSE-listed companies strongly preferred.
Experience with M&A, strategic transactions and corporate governance preferred.
Ability to independently manage transactions and SEC matters while knowing when to escalate significant issues.

Preferred

Experience supporting a corporate legal department or law firm
Familiarity with contract management or e-signature platforms (DocuSign, Ironclad, etc.)
Interest in corporate, securities, or technology law
Fluency in English and Chinese is a plusdvise on Securities Act and Exchange Act compliance, disclosure requirements and public-company reporting obligations.
Support a broad range of capital markets and financing transactions, including:
PIPE transactions and private placements
Registered direct and underwritten offerings
At-the-market offerings
